These Terms of Service ("Terms") govern your use of the services provided by Spirited Bar Ltd, trading as Spirits Studio ("Spirited Bar Ltd," "we," "us," or "our"), a company registered in England and Wales with company number 1018889 Spirited Bar Ltd provides a bespoke spirits product service, allowing customers ("Customer," "you," or "your") to select different bottles, spirits, closures, and design their own labels for custom alcoholic beverages.

By accessing or using our website, services, or placing an order, you agree to be bound by these Terms and all policies incorporated by reference. If you do not agree to these Terms, you may not use our services.

 

1. Age Restriction and Verification
1.1 Legal Drinking Age: You must be of legal drinking age in your country, state, or territory of residence to purchase alcoholic beverages from Spirited Bar Ltd. By placing an order, you represent and warrant that you are at least [Insert Minimum Legal Drinking Age, e.g., 18 or 21] years old.

1.2 Age Verification: We reserve the right to use third-party age verification services to confirm your age. We may also require proof of age upon delivery. If we are unable to verify your age, or if you are found to be under the legal drinking age, we reserve the right to cancel your order and may charge a cancellation fee.

1.3 Misrepresentation: Misrepresenting your age is a serious offence. Spirited Bar Ltd will not be liable for any loss or damage arising from your failure to comply with this section.

 

2. Bespoke Product Orders and Manufacturing
2.1 Customisation: Spirited Bar Ltd offers a bespoke service where you select components (spirit type, bottle, closure) and provide a custom label design. All products are manufactured to your specific order.

2.2 Order Acceptance: All orders are subject to acceptance by Spirited Bar Ltd. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in the description or price of the product, or error in your order.

2.3 Production Timeline: Due to the bespoke nature of our products, production and delivery timelines are estimates only. We will make reasonable efforts to meet estimated timelines but are not liable for any delays.

2.4 Right to Cancel and Return (Bespoke Products):

• Exemption for Custom Goods: Due to the bespoke and personalised nature of the products (manufactured to your specific selection of components and custom label design), you acknowledge that the standard statutory right to cancel or return goods (e.g., the 14-day cooling-off period under certain consumer protection laws) does not apply once the manufacturing process has commenced.
• Cancellation Before Production: You may cancel your order and receive a full refund only if the cancellation request is received and confirmed by Spirited Bar Ltd before the commencement of production (e.g., before the label design is sent to print or the spirit is bottled).
• Returns for Faulty or Non-Conforming Goods: We accept returns and will offer a replacement or refund only if the product is faulty, damaged upon delivery, or does not materially conform to the specifications of your order (as per Section 6.1). Claims for faulty or non-conforming goods must be made within 7 days of delivery.
• Non-Refundable: Except for faulty or non-conforming goods, once an order has been accepted and production has commenced, it cannot be cancelled, returned, or refunded.

 

3. Custom Label Design and Intellectual Property
3.1 Customer-Provided Content: You are solely responsible for all text, images, graphics, and other materials ("Customer Content") you upload or submit for your custom label design.

3.2 Content Standards: You warrant that your Customer Content will not:

• Infringe any third party's copyright, patent, trademark, trade secret, or other proprietary rights or rights of publicity or privacy.
• Contain any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Depict or promote excessive or irresponsible consumption of alcohol, or be directed at minors.
• Violate any applicable law, statute, ordinance, or regulation.

3.3 Indemnification for Content: You agree to indemnify, defend, and hold harmless Spirited Bar and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your Customer Content, including any claim that the Customer Content infringes the intellectual property rights of a third party.

3.4 Intellectual Property Ownership:

• Customer Content: You retain all ownership rights in your original Customer Content (e.g., logos, images, text) submitted for the label design. By submitting Customer Content, you grant Spirited Bar Ltd a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, display, and modify the Customer Content solely for the purpose of fulfilling your order and manufacturing your bespoke product.
• Final Label Design Ownership: Upon completion of the design process and payment in full, the final, composite label design created by Spirited Bar Ltd, incorporating your Customer Content and Spirits Studio's design elements, shall be the exclusive property of Spirited Bar Ltd t/a Spirits Studio. This includes all associated digital assets, working files, design files (e.g., vector files, high-resolution images), and any intermediate design concepts created by Spirits Studio. You acknowledge that you are purchasing a physical product and a license to use the final design on that product, not the underlying intellectual property rights in the final design or any associated digital assets.
• Spirits Studio IP: All intellectual property rights in the Spirits Studio website, branding, design tools, and any pre-designed elements or templates provided by us remain the exclusive property of Spirited Bar Ltd.

3.5 Right to Refuse: Spirited Bar Ltd reserves the right to review, reject, or remove any Customer Content that we deem, in our sole discretion, to be in violation of these Terms or any applicable law, or that we find otherwise objectionable.

 

4. Pricing, Payment, and Delivery
4.1 Pricing: All prices are as stated on our website at the time of order, and are subject to change without notice. Prices include VAT but exclude delivery charges, which will be added to the total amount due.

4.2 Payment: Payment must be made in full at the time of placing the order. We accept online payments via our payment partner, Stripe.

4.3 Delivery: Delivery is subject to our separate Shipping Policy. Risk of loss and title for items purchased from Spirited Bar Ltd pass to you upon our delivery to the carrier. You are responsible for complying with all applicable laws regarding the importation, possession, and consumption of alcoholic beverages in your jurisdiction.

 

5. Force Majeure
5.1 Unforeseen Events: Spirited Bar Ltd shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

 

6. Product Variation and Quality
6.1 Product Variation: Due to the bespoke nature of the products, minor variations in colour, bottle shape, closure fit, label placement, and spirit characteristics may occur between the digital representation and the final physical product. Spirited Bar Ltd warrants that the product will conform to the specifications of the order in all material respects, but does not warrant against minor variations.

6.2 Quality Assurance: Spirited Bar Ltd warrants that all spirits are produced and bottled in compliance with all applicable food safety and alcohol regulations.

 

7. Limitation of Liability and Disclaimer
7.1 Disclaimer of Warranties: Our services and products are provided on an "as is" and "as available" basis. Spirited Bar Ltd makes no warranties, express or implied, regarding the products or services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Limitation of Liability: To the fullest extent permitted by law, Spirited Bar Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorised access, use, or alteration of your transmissions or content.

 

8. Governing Law and Dispute Resolution
8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

8.2 Dispute Resolution: Any dispute arising out of or relating to these Terms or your use of the services shall be resolved by binding arbitration in England United Kingdom, in accordance with the rules of London Court of International Arbitration (LCIA)].

 

9. General Provisions
9.1 Entire Agreement: These Terms constitute the entire agreement between you and Spirited Bar Ltd regarding the use of the services.

9.2 Sever ability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

9.3 Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the services after the effective date of the revised Terms constitutes your acceptance of the new Terms.
